1. Support the Group’s Strategic Investments and Corporate Transactions （1）Act as a key legal business partner for the Group’s strategic projects and business development initiatives, including greenfield investments, mergers and acquisitions, joint ventures, strategic partnerships, and capital market transactions. （2）Support legal work-streams throughout the full transaction lifecycle, including transaction structuring, legal due diligence, risk assessment, drafting and negotiation of transaction documents, signing, closing and post-closing matters; （3）Identify and manage key legal and commercial risks, and provide practical, business-oriented legal advice to the project team; （4）Coordinate and collaborate with internal stakeholders across strategy, finance, tax, BU and operational functions to ensure efficient execution of projects; （5）Manage and supervise external counsel to ensure timely and high-quality delivery; （6）Support on post-acquisition integration initiatives. 2. Support the Group’s Global Commercial Activities （1）Provide legal support for the Group’s international commercial activities. （2）Draft, review and negotiate a wide range of commercial agreements, including master service agreements, consignment agreements, capacity reservation agreements, supply agreements, strategic cooperation agreements, and other commercial contracts as required; （3）Develop practical contract solutions that align business objectives with legal and compliance requirements. 3. Other Responsibilities （1）Support other projects or initiatives as driven by the Group’s shareholder, such as SOE supervision and management related initiatives; Perform other legal and compliance duties as assigned by line manager; （2）Contribute to the continuous improvement of legal processes, contract management practices, and knowledge-sharing initiatives within the Legal Department. 1. Bachelor's degree in Law or above; PRC Bar qualification required; 2. Minimum 7 years of relevant legal experience gained from a reputable law firm and/or multinational corporation. M&A experience is required; 3. Experience and knowledge on state-owned enterprise related rules is an advantage; 4. Prior experience in the semiconductor or technology industries is preferred; 5. Strong commercial mindset with the ability to provide practical, business-oriented legal solutions; 6. Excellent communication, stakeholder management and project management skills, with the ability to work effectively in a matrix organization; 7. Strong English communication skills, both written and spoken, with the ability to negotiate and draft legal documents in English; 8. Self-motivated, adaptable and resilient, with the ability to thrive in a fast-paced and evolving business environment.
